1. Agreement to Terms

By accessing or using CallView ("the Service"), operated by TPH Business Consultancy Services ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

CallView is a human-in-the-loop AI voice platform designed for B2B outbound sales operations. These terms govern your use of our platform, including the AI calling system, Live Coaching Console, voice cloning technology, CRM integrations, and all related services.

2. Service Description

CallView provides:

  • AI Voice Calling: Automated outbound calling using AI-powered voice technology
  • Live Coaching Console: Real-time supervision and coaching of AI conversations
  • Voice Cloning: Creation of custom voice profiles based on provided audio samples
  • CRM Integration: Synchronization with third-party customer relationship management systems
  • Analytics & Reporting: Performance metrics and call analytics
  • Setup & Training: Implementation services and team onboarding

The Service is provided on a subscription basis as outlined in your service agreement. Features may vary based on your selected plan (Starter Pod, Growth Pod, or Enterprise Pod).

3. Account Requirements

To use CallView, you must:

  • Be at least 18 years of age
  • Represent a legitimate business entity
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized account access
  • Accept responsibility for all activities under your account

You may not share account credentials or allow unauthorized persons to access the Service through your account. We reserve the right to suspend or terminate accounts that violate these requirements.

4. Pricing & Payment

4.1 Subscription Plans

CallView offers subscription plans with the following structure:

  • Starter Pod: $3,500/month + $2,500 one-time setup fee
  • Growth Pod: $6,500/month + $4,500 one-time setup fee
  • Enterprise Pod: $12,000/month + custom setup fee

4.2 Payment Terms

  • Setup fees are due upon contract execution
  • Monthly subscription fees are billed in advance
  • Payment is due within 15 days of invoice date
  • Late payments may incur a 1.5% monthly interest charge
  • All fees are in US Dollars unless otherwise specified

4.3 Refund Policy

Setup fees are non-refundable once implementation begins. Monthly subscription fees may be prorated if cancellation occurs mid-cycle. No refunds are provided for partial months of service or unused call minutes.

5. Acceptable Use Policy

You agree to use CallView only for lawful purposes and in compliance with all applicable laws and regulations. You may NOT use the Service to:

  • Make calls to numbers on the National Do Not Call Registry without proper exemptions
  • Violate the Telephone Consumer Protection Act (TCPA) or similar regulations
  • Make calls outside of permissible hours (before 8am or after 9pm local time)
  • Misrepresent your identity, company, or the nature of the call
  • Engage in harassment, threats, or abusive behavior
  • Conduct fraudulent, deceptive, or illegal activities
  • Interfere with or disrupt the Service or servers
  • Attempt to reverse engineer, decompile, or access source code
  • Resell or redistribute the Service without authorization
  • Use the Service for consumer telemarketing (B2C) without proper consent

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. Compliance Responsibilities

6.1 Your Responsibilities

You are responsible for:

  • Ensuring all call lists comply with DNC regulations
  • Obtaining proper consent where required by law
  • Maintaining accurate records of consent and opt-outs
  • Ensuring scripts comply with industry-specific regulations (SEC, FINRA, etc.)
  • Training your team on proper use of the coaching console
  • Monitoring AI conversations for compliance

6.2 Our Compliance Tools

CallView provides compliance tools including automatic DNC scrubbing, calling hour restrictions, and human oversight capabilities. However, these tools are aids to compliance, not guarantees. Ultimate compliance responsibility rests with you.

7. AI Voice Technology Terms

By using CallView's AI voice features, you represent and warrant that:

  • You have the legal right to use AI voice technology for your business communications
  • All calls will comply with applicable telemarketing and communication regulations
  • You will properly identify AI-generated calls when required by law
  • The AI voice will only be used for authorized CallView activities

We use industry-standard AI voice technology for all calls. Call recordings and data are handled in accordance with our Privacy Policy.

8. Intellectual Property

8.1 Our Property

CallView, including its software, AI models, algorithms, interfaces, and documentation, is the exclusive property of TPH Business Consultancy Services. You receive a limited, non-exclusive license to use the Service during your subscription period.

8.2 Your Content

You retain ownership of your scripts, call lists, and business data. By uploading content to CallView, you grant us a license to use that content solely for providing the Service. We will not sell or share your proprietary content with third parties.

9. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

  • Call recordings are stored securely and retained according to your preferences
  • Prospect data is used solely for service delivery
  • We implement industry-standard security measures
  • Data may be processed by third-party service providers under strict agreements
  • You may request data export or deletion upon account termination

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DO NOT GUARANTEE SPECIFIC RESULTS, MEETING QUOTAS, OR REVENUE OUTCOMES
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING 12 MONTHS
  • WE ARE NOT RESPONSIBLE FOR COMPLIANCE VIOLATIONS RESULTING FROM YOUR ACTIONS

This limitation applies regardless of the theory of liability (contract, tort, or otherwise).

11. Indemnification

You agree to indemnify, defend, and hold harmless TPH Business Consultancy Services, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any laws or regulations; (d) your violation of third-party rights; or (e) any claim that your use of the Service caused damage to a third party.

12. Termination

12.1 By You

You may cancel your subscription at any time with 30 days written notice. Service will continue until the end of the current billing period.

12.2 By Us

We may suspend or terminate your account immediately if you: (a) violate these Terms; (b) fail to pay fees when due; (c) engage in illegal activity; or (d) pose a risk to our platform or other users.

12.3 Effect of Termination

Upon termination, your access to the Service will cease. You may request export of your data within 30 days of termination. After 30 days, we may delete all account data.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

  • Informal Resolution: We encourage you to contact us first to resolve disputes informally
  • Governing Law: These Terms are governed by the laws of the Philippines
  • Arbitration: Disputes that cannot be resolved informally shall be submitted to binding arbitration
  • Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any service agreement, constitute the entire agreement between you and us
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Our failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent; we may assign them freely
  • Force Majeure: We are not liable for delays caused by circumstances beyond our control
